END USER LICENSE AGREEMENT

The terms under which you install and use Tau Plugins software. By installing, copying, activating, or using the Software, you agree to be bound by this agreement.

EFFECTIVE 2026-10-25

PARTIES & SOFTWARE

Publisher: Kirill Semenov, London, United Kingdom (“the Publisher”, “we”, “us”).

Software: the Tau Plugins audio plugin software — including Tau Shell, Tau Null, and future modules — in VST3, Standalone, and any future formats (AU, AAX), together with bundled presets, documentation, fonts, and any updates we make available.

Licensee: the individual or legal entity that purchased a licence (“you”). If you do not agree, do not install or use the Software and request a refund per Section 11.

1. LICENCE GRANT

Subject to your continuous compliance with this EULA and payment of all applicable fees, the Publisher grants you a non-exclusive, non-transferable, revocable, worldwide licence to install and use the Software, solely for your own commercial or personal music production activities, on up to three (3) computers that you own or control. The Software may be in simultaneous active use on all three computers.

A single licence includes three (3) activation seats. Use on more than three computers, or by more than one individual, requires additional licences.

2. RESTRICTIONS

You agree that you will not, and will not permit any third party to:

  • copy, distribute, sublicense, rent, lease, lend, resell, or otherwise transfer the Software or your licence key, except as expressly permitted in Section 9;
  • reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying algorithms, or trade secrets of the Software, except to the limited extent applicable law prohibits this restriction;
  • modify, adapt, translate, or create derivative works based on the Software, except for project files and audio output you create while using it;
  • remove, alter, or obscure any copyright, trademark, or other proprietary notice in the Software;
  • use the Software to develop a competing product;
  • circumvent or attempt to circumvent the Software’s activation, licence-key validation, or any other technical protection measures;
  • publicly share, post, or upload your activation key or any artefact that would allow another party to activate the Software without purchasing a licence.

3. ACTIVATION AND LICENCE KEY

The Software requires activation with a licence key issued by the Publisher. Until activated, the Software runs in a restricted state (see Section 4). Activation may involve the transmission of a non-personally-identifying machine identifier to a server operated by the Publisher or its authorised provider, solely to validate your licence and prevent unauthorised use. See Section 12 for privacy details.

You are responsible for keeping your licence key confidential. The Publisher may, after reasonable investigation, revoke a licence key that we determine in good faith has been shared publicly, used to exceed the seat limit in Section 1, or obtained fraudulently.

4. RESTRICTED (UNACTIVATED) MODE AND FREE TRIAL

Prior to activation, the Software may be installed and loaded in a digital audio workstation, but its audio processing is disabled (“Restricted Mode”). In Restricted Mode the bypass control is locked in the bypassed position. All other in-plugin interaction (adjusting controls, browsing presets) is permitted so you can evaluate the interface.

Where the Publisher offers a free trial for a product (currently Tau Null), you may start it from within the Software once per computer. For 14 days from that moment the Software runs with all features (the “Trial”). Starting a Trial requires an internet connection and records the information described in Section 12. When the Trial ends, the Software returns to Restricted Mode until a valid licence key is activated. A Trial is granted so you can evaluate the Software before buying it. You may not extend, reset or restart a Trial by technical means, for example by changing your system clock, the Software’s files or your computer’s identifiers. The Publisher may extend a Trial at its discretion.

5. UPDATES

The Publisher may from time to time make updates, bug fixes, and new versions available, at its discretion and possibly conditioned on this or a successor EULA. The Publisher is not obligated to maintain compatibility with any specific host application, operating system, or hardware configuration.

6. INTELLECTUAL PROPERTY

The Software is licensed, not sold. The Publisher and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. All audio output you produce using the Software is yours; this EULA imposes no royalty or claim on that output.

The Software contains third-party components — including without limitation the JUCE framework, the Silkscreen typeface, the Barlow typeface, and the JetBrains Mono typeface — used under their respective licences. A list of third-party licences is included with the Software.

7. DISCLAIMER OF WARRANTY

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE PUBLISHER DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT IT WILL OPERATE WITH ANY SPECIFIC HOST OR HARDWARE.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE PUBLISHER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE PUBLISHER’S TOTAL AGGREGATE LIABILITY UNDER THIS EULA WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID FOR THE LICENCE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) USD 50.

Nothing in this EULA excludes liability that cannot be excluded under applicable law (including, where applicable, liability for death, personal injury, or fraud).

9. TRANSFER

You may permanently transfer your licence to another person provided that (a) you transfer all copies of the Software and this EULA to the recipient, (b) you remove all installed copies from your computers and de-activate any active seats, (c) the recipient accepts this EULA, and (d) you notify the Publisher at hello@tauplugins.com so the licence key can be reassigned. The Publisher may charge a reasonable administrative fee for licence transfer.

10. TERMINATION

This EULA is effective until terminated. It terminates automatically without notice if you fail to comply with any of its terms. Upon termination you must cease all use of the Software and destroy all copies in your possession. Sections 2, 6, 7, 8, 11, 13, and 14 survive termination.

11. REFUNDS

Because licence keys cannot be reliably revoked once delivered, sales are generally final. Notwithstanding the foregoing, the Publisher offers a discretionary refund within 14 days of purchase if you have not used the Software outside of Restricted Mode and provide a reasonable explanation. Statutory rights under applicable consumer protection law (for example, in the EU and UK) are not affected by this section.

12. PRIVACY

The Publisher processes the following information in connection with this licence:

  • the email address you provided at purchase;
  • a non-personally-identifying machine identifier generated from stable hardware characteristics;
  • a one-way hash of your computer’s name, its processor model and operating system, and the maker prefix of its network card;
  • if you start a free trial: one-way hashes of your network-card addresses, the plugin version and host application, the Trial’s dates, a country derived from your network address, and a salted hash of that address kept for 30 days to limit repeated trials;
  • the activation events (date, time, licence key, machine identifier) for fraud prevention and seat tracking.

We do not collect audio data, project files, or telemetry on plugin usage. The tauplugins.com website counts visits anonymously, without cookies. A full privacy policy is published at tauplugins.com/privacy.

13. GOVERNING LAW AND DISPUTES

This EULA is governed by the laws of England and Wales, without regard to its conflict-of-laws principles. The courts of London, England will have exclusive jurisdiction over any dispute arising out of or in connection with this EULA, except that the Publisher may seek injunctive relief in any competent jurisdiction to protect its intellectual property.

If you are a consumer resident in the European Economic Area or United Kingdom, you may also bring proceedings in the courts of your country of residence and rely on any mandatory consumer-protection provisions of your local law.

14. GENERAL

  • Entire agreement. This EULA, together with any order confirmation and the privacy policy referenced above, is the entire agreement between you and the Publisher regarding the Software.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
  • No waiver. Failure to enforce any right is not a waiver.
  • Assignment. You may not assign this EULA without the Publisher’s prior written consent. The Publisher may assign this EULA in connection with a merger, acquisition, or sale of assets.
  • Notices. Notices to the Publisher should be sent to hello@tauplugins.com. Notices to you may be sent to the email address associated with your licence.
  • Updates to this EULA. The Publisher may update this EULA from time to time. Material changes will be notified to active licensees by email or in-product notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
